| Organizational structure: | Equal Rights for Persons with Disabilities International, Inc., (ERPDI), is a State of Texas & The United States, Registered, nonprofit, nongovernment, & nonpolitical 501 (c) (3), IRS Tax Exempt Disabled Peoples Organization. Per ERPDI Bylaws/Constitution, it’s Organizational Management, is Structured as Follows:ERPDI MANAGEMENT BY BOARD OF DIRECTORS: The ERPDI board of directors shall:(1) exercise or authorize the exercise of the powers of ERPDI;& (2) direct the management of the business and affairs of ERPDI.In discharging the duties of director and in considering the best interests of ERPDI, a director may consider the long-term and short-term interests of the ERPDI. 2. BOARD MEMBER ELIGIBILITY REQUIREMENTS:Any board member of ERPDI must be from a diagnosed person with disabilities, family members, healthcare providers, social worker and others, residing in Houston and other contiguous cities in the United States and must be a member in good standing as defined in this bylaw. 70% of the Board members MUST be people diagnosed as suffering from disability. “Nothing About us, Without us” 3.NUMBER OF DIRECTORS:The Board of Directors shall consist of between 5-17 members of ERPDI. If the certificate of formation or bylaws do not set the number constituting the board of directors or provide for the manner in which the number of directors must be determined, the number of directors is formation. 6. FUNCTIONS OF ERPDI BOARD OF DIRECTORS:(a)Determine the ERPDI's Mission and Purpose A statement of mission and purposes should articulate ERPDI's goals, means, and primary constituents served. It is the board of directors' responsibility to create the mission statement and review it periodically for accuracy and validity. Each individual board member should fully understand and support it. (b)Support the Executive: The board should ensure that the members of ERPDI executive have the moral and professional support they need to further the goals of the association. The Officers, in partnership with the entire board, should decide upon a periodic evaluation of the performance of the officers. NUMBER OF OFFICERS 1.1. The officers of ERPDI shall consist of a president and a secretary and may also consist of one or more vice-presidents, a financial secretary, a provost, a treasurer, welfare, medical officer, arts and culture, social officer, and such other officers and assistant officers as may be deemed necessary. New offices may be created as necessary. Any two or more offices may be held by the same person, except the offices of president and secretary. A committee duly designated may perform the functions of any officer and the functions of any two or more officers may be performed by a single committee, including the functions of both president and secretary. 1.2 At least 70% of elected officers MUST be people with disabilities, “NOTHING ABOUT US, WITHOUT US.”5. PRESIDENT: The President shall be the chief executive officer of ERPDI and shall preside at all meetings of all members. Such officer shall see that all orders and resolutions of the board are carried out, subject however, to the right of the directors to delegate specific powers, except such as may be by statute exclusively conferred on the President, to any other officers of ERPDI. 5.2. The President or any Vice-President shall execute instruments requiring a seal, in the name of ERPDI. When authorized by the board, the President or any Vice-President may affix the seal to any instrument requiring the same, and the seal when so affixed shall; be attested by the signature of either the Secretary or an Assistant Secretary. 6. VICE-PRESIDENTS:6.1.The Vice-President, or Vice-Presidents in order of their rank as fixed by the members, shall,in the absence or disability of the President, perform the duties and exercise the powers of the President, and they shall perform such other duties as the members shall prescribe |

ERPDI shall have one class of members. Members must meet the following qualifications for membership: Any diagnosed person with disability. 3. HONORARY MEMBERSHIP 3.1 Any friend and family members of a diagnosed person with disabilities, healthcare providers, teachers, guardian, and social worker. |
