The bodies of the Foundation are : • the Foundation Council: The Foundation Council is the highest body of the Foundation. It has all competencies which are not expressly attributed to another body by the present memorandum and articles or by the by-laws of the Foundation. It has the following inalienable rights: • Direction and management of the Foundation; • Appointment of the Foundation Council, the Board and the Auditor in accordance with the conditions of the memorandum and articles; • Orientation of the investment policy of the Foundation patrimony and drawing up of a financial plan; • Acceptance and allocation of donations, grants, subsidies and other contributions; • Establishment of the budget ; • Approval of the yearly accounts. The Foundation Council is presided over by the Chairman. The Foundation Council appoints for five years among its members its Secretary and its Treasurer, from candidates recommended by the Chairman. The Foundation Council can plan and implement any other position that could be of use to the administration of the Foundation. The Foundation Council is furthermore authorized to delegate part of its tasks to one or more of its members, or to a third party. The board: The Board is composed of the Chairman, the Secretary, the Treasurer and two other members appointed by the Council among its members, from candidates recommended by the Chairman. Powers and Authority The Board fulfils the duties assigned by the Foundation Council. The Board ensures the day-to-day management of the Foundation in accordance to the Foundation’s objectives and in execution of the decisions taken by the Foundation Council. The Board adopts decisions based on majority vote of its members. In case of equal votes, the Chairman has the deciding vote. The Chairman represents the Foundation towards third parties but may empower other members of the Board to do so. The Board can in particular: • hire personnel, including a Director responsible for the day-to-day affairs of the Foundation; • rent premises in Switzerland or abroad; • implement the investment policy for the patrimony of the Foundation; • conclude agreements on research projects, training or other academic programs, publications, conferences and all other activities that are pertinent to the objectives of the Foundation. The Foundation is committed by the single signature of its Chairman, or alternatively, the joint signatures of its Secretary and Treasurer jointly. The Board can assign Power of Attorney to a third party to sign in the name of the Foundation if required. The Board can appoint, among the members of the Foundation Council and third parties, one or several technical Committees in charge of coordinating academic and practical aspects necessary to the good functioning of the Foundation. • the Auditor The Foundation Council appoints every year an external and independent, professionally qualified Auditor, Member of the Chambre fiduciaire suisse or of the Union Suisse des fiduciaires, to verify the accounts of the Foundation and submit a detailed Auditor’s Report to the Foundation Council. The Auditor must ensure that the memorandum and articles, as well as the by-laws are fully respected. He must inform the Foundation Council of all gaps noticed during the course of his mandate. If these gaps are not filled within a reasonable time limit, the Auditor must inform, if need be, the Supervising Authority. |

The Foundation Council is composed of the Founder plus at least five other persons who carry out their activity on a voluntary basis. These persons must have a bond with the objective of the Foundation, based on their experiences, their opinions or the dedication which they have demonstrated. One of the members of the Foundation Council has to be a Swiss citizen, or a citizen of one of the member States of the European Union (EU) or of the European Free Trade Association (EFTA) and must be domiciled in Switzerland.
