AIDS Foundation East West (AFEW) relies upon the expertise of its Board members for guidance and support. Therefore, AFEW’s Board is comprised of professionals with extensive experience in organisational management, programme development and evaluation, financial management, and research. Currently, the AFEW Board consists of the following seven members: Frank de Wolf, MD, PhD, Chairman James Patrick Nolan, MA, MBA, Treasurer & Secretary Catherine M. Bedell, MD, MPH, Board Member Vladimir Vladimirovich Pozner, Board Member Leah Utyasheva, PhD, Board Member Arsen Kubataev, MBA, MD, Board Member The AFEW Board delegates day-to-day supervision and management of the organisation to the Management Team, which consists of the Executive Director, the Director of Programmes, and the Director of Finance and Administration. The AFEW Management Team and senior managers together provide leadership and guidance for all AFEW staff as we carry out our mission in the regions where we work. It delegates most responsibilities (day-to-day management, project management, financial management and HRM) to the Executive Director who, then, delegates specific responsibilities to other members of AFEW’s Management Team (MT) and senior management in the regional offices. The following issues require Board approval: - Annual plan and strategic plan; - Annual budget and multi-year budget; - Annual report and the financial review; - Financial transactions that exceed €100,000 per transaction; - Changes to the bylaws and statutes; - Fundraising strategy; - Engaging in major strategic partnerships; - Starting and closing down activities in countries; - Volunteer policy; - Financial risk management; - Mergers with other organisations; - Filing petitions for bankruptcy or applying for a moratorium; - Dissolution of the legal entity; - Other major decisions, to be determined by the organization. - There are two Board meetings each year, during which the Executive Director and members of the Management Team discuss the above issues. The last meeting of each calendar year, annual plans and the budget for the next year are discussed and approved. At the first meeting of the year, the financial results of the previous year are presented; there is a budget review and an update on strategic and implementation issues. |
