A. The General Assembly
The Assembly, (ordinary and extraordinary), is the deliberative body of the association.
A) The Ordinary and Extraordinary Assembly has the right to intervene in good standing for the payment of the subscription of members.
1. The Ordinary Assembly has the following functions:
a. discuss and deliberate on the Accounts and estimates and reports of the Executive Council;
b. elect and dismiss members of the Governing Council and other organs of the association;
c. approve the general outlines of the program of activities;
d. deliberate on all matters relating to social management and in any other ordinary matter that is called upon to decide.
2. The Extraordinary Assembly has the following tasks:
a. decides on the dissolution of the association;
b. acts on proposed changes to membership status.
B ) The meetings shall be convoked in written form by any means (hand delivery, letter, e-mail, fax) as long as there might be a written response that the Commission, containing the items on the agenda, date, the time and place of the Assembly, and the date, time and place of convening the second meeting.
The Executive Board
1. The Executive Board is composed of a number of at least 3 members and a maximum of 11 members elected by the GENERAL ASSEMBLY, and shall hold office for three years mandate renewable.
2. Board members shall be re-elected, in case of resignation of a member,
3. It is the financial management body of the association and ensures the smooth running of the association’s activities within the year.
4. It executes the decisions and resolutions of the SMC.
5. It shall issue membership cards to newly admitted members who have been recommended by the SMC and validated by the General Assembly after scrutinizing through their files.
The Executive Board is composed of:
* CO-ORDINATOR - DIRECTOR - PRESIDENT
* SUPERVISORY - MONITORING COMMISSION
1. VICE PRESIDENT - TREASURER
2. FINANCIAL SECRETARY - SECRETARY GENERAL - AUDITORS
3. STAFF REPRESENTATIVES
C: The Supervisory and Monitoring Commission (SMC)
The Supervisory and Monitoring Commission is the administrative and management organ of the association. Except in the domains explicitly spelled out and attributed to the General Assembly, the commission has full powers to assure good and sound management of the association. It is composed of Eight (8) members whose mandate is indeterminate. In the event of lost of membership in the commission, its remaining members shall after deliberation appoint a person from the same department he/she came from to replace the outgoing member.
MEETINGS
The SMC shall meet as often as the interest of the association so and at least once every six month. It shall meet on:
1. The convocation of its co-coordinator( President) or Vice President
2. The demand of at least 2/3 members
To validate deliberations on issues related in our plan of action, the commission must meet with at least 2/3 of its members.
Decisions are taken by a simple majority and in case of tie in ballot, the co-coordinator or President shall discretionary cast a determining vote.
ATTRIBUTES OF THE SUPERVISORY AND MONOTORING COMMISSION (SMC)
The attributes of the SMC are:
* Deliberate on the admission of a new members or dismissal of a member.
* Examining and approval of submitted Project
* Safeguard the interest, funds, asserts stocks and properties of the Organization.
* Presentation to the General Assembly a report of activities and accounts of the Organization at the end of the year. |
Number and type of members: |
We have about 150 members and Nido di Speranza is a worldwide membership based organization and NiDS relies on talents and enthusiasm of many people to achieve its mission. The people of Nido di Speranza include scientists, intellectuals, volunteer fundraising groups, corporate partners and national organizations. All of the people of Nido di Speranza are working in various capacities to help people help themselves.
The activities of the members cannot be paid in any way either by the recipient. The member may be reimbursed only by the actual costs incurred for the activity performed and properly documented. The quality of membership is incompatible with any form of relationship or self-employment.
Membership Categories
* Founding Members
Those who founded the Association "Nido di Speranza", and are reserved the right to determine the necessary conditions to join the Association.
* Ordinary Membership
Membership is approved by at least two-third of members present through a letter addressed to the Executive council and to those who contribute financially to the activities of the Association.
* Associates (Partners) or Affiliate Membership
They can be individuals, companies, legal persons, associations, committees, foundations, and institutions; wishing to contribute to reach the aims of social solidarity. Under this constitution the number of members is unlimited. This will be approved by the President who will recommend acceptance to the Board of Directors. A two third majority is required to approve the membership. Affiliate members are not allowed to vote.
* Honorary membership
It shall be open to distinguished individuals who have made extraordinary contributions to the advancement of humanity. Honorary members shall have all the rights and privileges of active membership.
* Life membership
It shall be open to qualified individuals of any nation who believes in the mission and vision of the association. |
