    Organizational structure: Novi NGO consists of the following bodies: • General Assembly • Administrative Board • Executive Board • The Audit • The General Assembly is the gathering of all members of the organization. The General Assembly is the supreme decision-making and guidance body, as such: - It grants membership, decide on exclusions and changes to the basic texts; - It adopts the budget, reviews the results of the previous year and the strategic plans and makes recommendations; - It elects the members of various bodies; - It has the power to dissolve the association. The General Assembly meets once a year in ordinary session. It may also meet in extraordinary session upon convocation by the Administrative Board or on the request of one third of its members. The General Assembly meets in the presence of two thirds of its members and decisions are taken by consensus. However, it is valid regardless of its foundation and the number present on a second call for the same reason. In General, all members are equal in rights and duties. Each active member is a voter and eligible under the criteria laid down in rules of procedure. • The Administrative Board is the administrative body for implementing the decisions of the General Assembly and control of tasks. The Board of Directors consists of five (05) members elected by the General Assembly and are: - A President - A Secretary - A General Treasurer - A Head of the Advisory Board - A Project Development officer • The Executive Board is the executive body of the General Assembly and the Administrative Board. It depends on the Administrative Board to whom it reports. It manages the daily activities of the NGOs, coordinating initiatives and actions of members. It prepares the budget; finalize projects and programs initiated by the NGO. It looks for funding with members in collaboration with the Administrative Board. It plans, organizes and provides training support and advice to members. Members of the Executive Board are employees. •Two auditors are elected by the General Assembly in conjunction with the Administrative Board. They are responsible of controlling the management of the organization. They report in General Assembly.
    Number and type of members: Active Member An active member is any individual or organization who contributes time and effort to fulfill the mission and objectives of Novi by participating in its projects and activities. Active members have the right to vote, nominate others for leadership positions, or take leadership positions for the governing of the organization. To become an active member, a member must be involved in the organization's activities for at least a period of two fiscal years. Active membership request is accepted upon agreement of 3/4 of the members. Supporting Member A supporting member is any one (person or organization) that is supporting Novi NGO either through donation, advice, or partnership. A membership card is sent to the supporting member and he (she or it) is kept up to date on the latest projects and activities of the organization. Active members are expected to contribute 36,000 fCFA ($100, 60 Euro) per year. Active members may also contribute the equivalent in time and participation in the implementation of Novi's projects. These contributions ensure the sustainability of the organization. Novi NGO has 20 active members, 85 supporting members, and 10 partners organization and youth clubs.
