    Organizational structure: Feminenza Kenya is a company limited by guarantee without shares incorporated on 24 April 2008 under the Companies Act. It is governed by its members through general meetings, including the Annual General Meeting (AGM) which elects a board of directors to direct and oversee the management of the organisation. The Company operates within a license granted to a named License Holder who has the duty to ensure that the international standards required by Feminenza International are applied within all spheres of action. The organisation structure of Feminenza Kenya is standard to Feminenza chapters worldwide. There are essentially three directorates serving all domestic affairs. Furthermore every chapter participates in Feminenza's four global programmes. Feminenza Kenya delivers those programmes within Kenya and provides technical support to Feminenza programmes. Feminenza Kenya has been able to secure access to a large ongoing body of knowhow and resource from within Feminenza’s existing resources. Members of the board have a broad range of qualities and expertise, including professional skills, management experience and recognition among stakeholders and the public, and complement each other and the organization. The primary function of board is governance. The board is responsible for protecting the interests of Feminenza Kenya, the network of Feminenza Chapters around the world, Feminenza International and its stakeholders. The Board of Feminenza Kenya is comprised of Voting Board Members and other categories (non-voting) members. There will not be more than ten members and not less than four Voting Board Members. The License Holder has exclusive rights to appoint all Voting Board Members and to vary their tenure. The Voting Board Members shall be the Chair, the Treasurer, the Logistics Director, the Education Programme Director. Non voting members can be appointed at the discretion of the Company Board by formal resolution of the Voting Board Members. Recently two Kenyan Nationals (women leaders) joined the Board as non voting members. They provide advice to the Board about the development of programmes in Kenya and about the strategy of Feminenza Kenya. The Voting Board Members subscribe to the Memorandum of Association. All Company Board members are unpaid, other than expenses. There is a strong commitment to ensuring standards are consistent, that there is cross fertilization of ideas and experience, and that there is a grass roots commitment to innovation. Strategic plans are prepared annually; boardroom level performance review is undertaken quarterly; each directorate undertakes monthly progress checks against agreed international and local criteria. The management style of Feminenza, including Feminenza Kenya has evolved, matured with the growth in responsibility, concommital with the need for consistent standards, efficiency in our administration, consistency and effectiveness in our outcomes. There have been huge benefits in learning from the experiences of other Feminenza chapters and our strategic partners. Thus, within the past four years Feminenza has established a set of Policy forums, driven by programme staff, populated by women from all sectors of influence and moderated by Feminenza Chairs. The forums span: • Headwork (curriculum development, content and standards for teaching, methods and framework for assessment and accreditation of teachers and project leaders, etc); • Methods. Diversity and effectiveness methods of education. • Values, ethics, leadership and strategic partnerships. • Corporate standards and policies for governance, finance, corporate and programme logistics, human resources, etc. • Communications, networking, event management, publicity and press, web activity.
    Number and type of members: Feminenza Kenya currently has 7 full members. Four of these members are Voting members of the Board, 1 is secretary to the Board and 2 are Non voting members of the Board. The membership structure had to be reviewed and therefore in recent times people were not able to join as members. As this possibility is opened again, it is expected that Feminenza Kenya will attract thousands of members in the coming years from Kenya, but also from other countries in Africa where already relations have been built. The membership structure is as follows: There is no imposed limit on the number of Members. Feminenza Kenya implements four categories of membership. a. Voting Board Members. Membership of the Voting Board Members category is restricted. Only the License Holder appoints Voting Board Members. Voting Board Members must already be Full Members or Companion Members. Should a Voting Board Member cease to be a member of the Board her status shall automatically be transferred to that of one of the other three categories, in accordance with her wishes and she shall no longer have the privileges of Voting Board Members. b. The remaining three categories are available to adults, of consenting age, of all races and creeds, as follows: i. Full Membership is available to women wishing to participate in Feminenza Works. ii. Companion Membership is available to men wishing to participate in Feminenza Works. iii. Friends of Feminenza is available to men or women who are not able to participate in Feminenza Works, but nevertheless wish to support Feminenza Works in the world. c. Next to Voting members Non-voting members can be invited to join the Board. They need to have Full Membership or Companion Membership status.
    Affiliation with NGO networks: Feminenza Kenya built up a network of grassroot organisations they work with since 2006, such as COPA, Rural Women Peacelink, Womankind Kenya,PeaceNet, Life Focus Group, Kwamburiot Peace Mothers, IDGP Nakuru, Magenche Poverty Eradication Development Group
