    Year of registration: 1990
    Organizational structure: The Foundation is organized as a 501(c)(3) tax-exempt supporting organization of the International Women’s Forum under section 509(a)(3) of the Internal Revenue Code of 1986 as amended. The Foundation will be operated exclusively to perform the educational and charitable functions and otherwise support and carry out the educational and charitable purposes of the International Women’s Forum to develop and enhance women’s leadership around the world.
    Number and type of members: There shall be at least three (3) and no more than 27 directors of the Leadership Foundation Board, all of whom shall be members in good standing of the International Women’s Forum. Members of the Board shall include but are not limited to the President; Executive Vice President; Secretary; Treasurer; the International Women’s Forum (IWF) President; the co-Founders of the Leadership Foundation, and no more than two (2) Directors Emeriti. All of these shall serve as full voting members of the Board. The co-Founders of the Leadership Foundation are Cynthia Maduro Ryan and Rosemary E. Weiss who shall be lifetime members of the Board of Directors with voting privileges. No more than two (2) Directors Emeriti may be selected as set forth in paragraph (b) below. The IWF President shall, subject to affirmation by the Board of Directors, appoint all directors except the Co-Founders and the Director Emeriti. Directors shall serve a term of four (4) years. Directors Emeriti. The Board, at its discretion, may elect Directors Emeriti by an affirmative vote of a majority of directors at any meeting where a quorum is present. Directors Emeriti shall have served faithfully and with distinction as members of the Board of Directors of the Leadership Foundation. There shall be no more than two (2) Directors Emeriti serving at any time. Directors Emeriti shall serve four (4) year terms. They may participate in all Board meetings and committee meetings. Directors Emeriti may vote in committee meetings, but may not vote in Board meetings, nor may they be eligible to serve as officers of the Corporation. The Corporate Secretary shall be a member ex officio (without voting privileges) of the Board of Directors and all Committees.
