    Organizational structure: Legal Form Women without Borders is registered as a “gemeinnütziger Verein” (Non-profit association) in Austria. The organisation was incorporated on December 10th 2001 in Austria as “Frauen ohne Grenzen - Women without Borders / SAVE - Sisters Against Violent Extremism, gemeinnütziger Verein”. Access to the association register: http://zvr.bmi.gv.at/Start Organizational Structure The Bodies of the Association The association’s body comprises the General Assembly, the Executive Board, the Auditor as well as the Arbitration Court.   The General Assembly The General Assembly is a “membership assembly” within the meaning of the Austrian Law of Associations 2002. The General Assembly regularly meets once a year and consists of the Executive Board, the Executive Director, the Members, and the Auditor. A regular General Assembly is convened once a year. The General Assembly has the following duties: a) To reach decisions about cost estimates; b) to receive and approve the statement of accounts and the year-end account balance with the involvement of the auditor; c) To elect and divest members of the Executive Board and the auditor; d) To approve legal transactions between auditors and the association; e) To relieve the Executive Board of management responsibilities; f) To determine the amount of entrance and membership fees for regular and extraordinary members; g) To bestow and deprive honorary memberships; h) To reach resolutions concerning changes to the Articles of Association The Executive Board The Executive Board is currently comprised of three members, namely the Chairperson, the Secretary, and the Cashier. The Executive Board is responsible for leading the association. It is the “governing body” and responsible for all duties that the Articles of Association do not explicitly assign to another body. The following issues in particular fall within the scope of the Executive Board: a) The establishment of an accounting system on a cash basis that meets the needs of the association as well as keeping a record of the inventory of assets as a minimum requirement; b) Compilation of yearly cost estimates, accounting records, and year-end account balances; c) Informing the association’s members about the association’ activities, the association’s financial conduct, and the audited year-end account balances; d) Management of the association’s assets; e) Admission and revocation of regular and extraordinary memberships; f) Hiring and firing of employees. Members As defined in the organisation’s statutes membership can be regular, extraordinary and honorary. All WwB members are regular members actively taking part in the associations activities. The members have the right to take part in WwB’s events and to use its facilities. All current members have the right to vote in the General Assembly and to run for an office in the same. The Auditor Two auditors are elected by the General Assembly and are responsible for continuously reviewing business transactions and assessing the association’s financial conduct with regard to the correctness of the accounts and the use of means according to the Articles of Association. Arbitration Court The association’s internal arbitration court is convened to mediate all conflicts that arise within the association. It is composed of three regular members of the association.   Advisory Board The association’s advisory board currently counts 15 international members in nine countries from different fields of expertise. Members of the advisory board are included in strategic decisions and consulted on project-related questions according to their respective expertise.
    Number and type of members: WwB currently has 14 members from six countries. As defined in the organisation’s statutes membership can be regular, extraordinary and honorary. All WwB members are regular members actively taking part in the associations activities. The members have the right to take part in WwB’s events and to use its facilities. All current members have the right to vote in the General Assembly and to run for an office in the same.
