The Foundation shall be managed and administered by a Management Board formed by three members at least and nine members at the most, appointed by the Founder, who reserves her right to hold positions in the management board and appoint directors upon expiry of their commissions or in the event of any vacancy of such directors in order to ensure faithful attainment of the mission of the foundation. The Founder shall elect a President, a Secretary, a Treasurer, Three Permanent Directors and Three Alternate Directors, who shall form part of the Management Board of the Foundation.
The other members of the Management Board shall hold their positions for three years and shall be entitled to be re-elected indefinitely. The appointment of any member shall be revocable at any moment upon decision by the same person that has appointed such member, which person shall appoint the substitute member. |
