    Organizational structure: Organization Structure a) General Assembly (GA) 1. The General Assembly (GA) consists of the members who believe in the membership criteria and are accepted as members. 2. It is the highest authority in the Centre's hierarchy. 3. It elects its chairperson from among the members for three years renewable term. a) Duties of the General Assembly Chairperson 1. Call for the GA to convene 2. Chairs the GA meetings 3. Represents the Centre in the local and international forums according to the need. b) Duties and rights of the GA’s members 1. They elect the members of the Board of Trustees or any of its members. 2. They select and discharging the Executive Director 3. They approve and amend the annual report, budget, and plan. c) Procedures for Convening the General Assembly The GA convenes in the following occasions: 1. Regularly once every year 2. On the invitation of the Board of Trustees 3. On an invitation for a meeting called for by signatures of one third of the GA members. d) Duties and Powers of the GA a. Draws the general policies b. Approves and amends the constitution, plans and general programs. c. Issues and amends the constitution and the regulations required for organizing the Centre's activities. d. Approves the agenda and endorses the minutes of the previous meeting. e. Issues the general guidelines in issues related to implementing the plan of the Centre f. Reviews the Board of Trustees’ report on the activities of the previous year. g. Looks into the general audit report and take the necessary required measures. h. Endorses the budget and final account of the previous year. i. Endorses the internal regulations of the Centre or amends them. j. Dissolves the Centre according to the provision of the law and the constitution. k. Any other matters stated in the agenda. The regular GA shall not look into matters which are not part of the agenda circulated to the members. e) Quorum for convening the Regular and extraordinary GA Sessions: 1. The simple majority shall be the valid quorum for convening the ordinary and extraordinary GA meetings. 2. In case of shortage in quorum stated in item (1) above the meeting should be postponed to a period not more than 48 hours; After which the second meeting can be held with a quorum of not less than one third of the GA members. 3. If the GA meeting starts with the right quorum as stated in item (1) above, the withdrawal of any number of members, shall not nullify the decisions taken conditional that the number of those present at the time of vote is not less than one third of those who started the meeting. f) Invitation of Experts Qualified, experienced specialists and others can be called to attend the meeting and take part in the discussion, without having the right to vote. g) Conditions for membership 1. The member should be active in the social objectives and strive to achieve them. 2. He/she should be recommended by two members of the GA. 3. He/she should abide by the provisions and regulations of the constitution. h) Loss of membership A member loses his/her membership in the following situations: 1. Drawing of attention and blame 2. Warning 3. Freezing of membership 4. Expulsion Appeal: 1. The member can appeal any punishment inflicted on him/her to the first GA’s meeting. The GA’s decision is final.
