    Organizational structure: The directive organs of ALDHU are: a) General Assembly b) Directive Council c) Executive Committee d) Executive Secretary Every member of each directive organ of ALDHU, holds a vote. This secures that decision-making is done in a transparent, democratic fashion. Voting is usually conducted by raise of hands, or through the use of telematic technology that facilitates the participation of members unable to attend to meetings. Planning is done considering that the maximum number of members can be present at meetings. When in absence, telematic tools provide an alternative to keep a high number of participants. The characteristics of the different organs of ALDHU are as follows: A) The General Assembly is the most important component fo the association and is conformed by all its members. Meetings are at least once every two years, at the premises of ALDHU in Quito, or at an exceptional location if circumstances force this determination. The assembly has the following functions: - To approve and reform statutes - To define goals and to set up general policy of the association - To acknowledge the reports from the Executive secretary and - to define the Directive Council B) The Directive Council It is conformed by 24 members, representatives of different countries and organisations. The council has the following functions: - To develop policy on human rights, to be adopted by the General Assembly - To meet at least once a year and every time urgent matters demand it - To elect the Executive Secretary of the association, for a period of two years, - To select the Executive Committee among its members, for a period of two years, - When circumstances demand it, to replace any of its members, or any member of the Executive Committee, - To approve the regulations of the association and, - To study the financial report and approve the budget of the association. C) The Executive Committee It is conformed by 11 members that meet at least twice a year, or extraordinarily when requested by its president, the 50% plus 1 of its members or upon request of the Executive Secretary. The Executive Committee is integrated by a president, five vice-presidents, vocals and the Executive Secretary. The Executive Committee has the following functions: - To execute the policies delineated by the Directive Council - To make public declarations on topics related to human rights - To summon extraordinary meetings of the General Assembly - To authorise, in the quickest possible way, actions when facing violations of human rights - To approve the administrative structure of the association - To resolve the admission of new members, and - To establish action plans for the President and the Executive Secretary, in line with the objectives of the association. D) The Executive Secretary It is the executive organ of all other directive organs in the association. It is integrated by the Executive Secretear and a number of designated functionaries. its attributions and functions are as follows: - To act, in conjunction with the President, as the legal representative of the association. - To implement the agreements and programs designed by the directive organs of the association - To direct the administrative, financial and budget organisations of the association, in agreement with the Executive Committee. - To present aa yearly activity report tho the Directive Council - To perform any other function assigned to him by the organs of the association, and to establish said functions in the accorded regulations. - The Executive Secretary of the association acts as such for all the organs of the association, as well as active member of both the Executive Committee and the Directive Council.
    Number and type of members: Currently there are 49 permanent members representing the different countries that make up Latin America and the Caribbean. Article 4.- Members of ALDHU are the national committees and organisms for human rights, as well as the organisations and individuals signing the constitutive act in Quito. Article 5.- In the same fashion, additional potential members can, upon acceptance of the present statutes, be the National committees, assemblies, and other organisms of human rights, the national confederations of workers, farmers and indigenous, political organisations, national student groups, national youth groups, women and cultural groups; democratic personalities from the field of science, arts and culture; regional organisms sharing the aims fo ALDHU and, in general, national organisations committed to the defence and guarantee of human rights. Article 6.- Rights and responsibilities of its members: a) To integrate the General Assembly, with right to opinion and vote; b) To elect, and be elected, in the organisms of the Association; c) To participate in the activities of the Association; d) To provide the information required and e) To financially contribute to the sustainability of the Association.
