The Board of Trustees is the highest authority within the Foundation. The Board of Trustees is composed by members from Telefonica Foundation and La Caixa Foundation and their designees. The Board of Trustees meets at least twice a year. The Managing Director is appointed by the Board of Trustees. The Managing Director will be assisted by the technical personnel determined by the Board of Trustees. The Managing Director presides over the Steering Committee. The Steering Committee performs the management and administration duties, coordinates the different areas, and performs the monitoring and operational control of the activities developed by the Foundation. The Steering Committee is composed of the Managing Director, those responsible for the operational areas and support areas, as well as the Deputy Director General of the Foundation. The Steering Committee meets at least twice a month and can seek advice from its Founders (Telefonica Foundation, La Caixa Foundation and Telefonica S.A.). The decisions of the Board of Trustees are passed by simple majority. In the case of a split vote the President of the Board of Trustees shall cast the deciding vote. The aforementioned powers are set out in the By-laws of the Foundation. |
