TB Alliance is guided by a management team, which operates under the general guidance of a Board of Directors (BOD) that has fiduciary responsibility for the organisation. The BOD reviews and approves the organisation’s strategies, activities, budgets and senior organisational appointments, including appointments to the Scientific Advisory Committee (SAC), described below. The BOD is recruited broadly from across the public and private sectors, and includes the President of the TB Alliance Stakeholders Association as well as the CEO of TB Alliance as ex-officio members. An Executive Committee of the BOD is empowered to provide the ability for rapid decision-making when convening the entire board is impractical. It is comprised of 3 members, including the CEO, Chairman, and a member from the Access Advisory Committee. In addition, there are multiple committees including the Portfolio Committee of 10 members, which has formal responsibility to evaluate and decide on projects moving through the research and development pipeline. The Finance and Audit Committee includes seven members and directly oversees the financial status of the organisation and interacts directly with TB Alliance’s independent auditors. A Nominating Committee, which is comprised of BOD as well as Stakeholder Association representatives and oversees nominations to the BOD, and a Compensation Committee of four members, which approves all senior executive and organisational compensation decisions. The primary operational management and oversight responsibility for the organisation lies with the President and CEO, who operates with the advice and consent of the BOD. For select decisions, TB Alliance’s staff and board is advised by a number of advisory committees, such as the Scientific Advisory Committee (15 members) on research and development technical issues, the Access Advisory Committee on market access plans and the Paediatric Advisory Group on paediatric topics. |
