    Organizational structure: The General Assembly is the supreme body of ATCA. The General Assembly is organized by the Executive Secretary at least once a year physically or "virtually" via Internet. Terms of office and duties of the General Assembly The General Assembly: (1) Approves of the record of the previous meeting; (2) Receives and examines annual reports of the Secretariat; (3) Examines and approves audited financial accounts of ATCA; (4) Ratifies as ATCA document any decision, declaration and other presentation of position; (5) Elects members of the Board of ATCA; (6) Elects the President of ACTA; (7) Approves of amendments and provisions of ATCA statute; (8) Decides referral in the appeal of decisions taken by the Board of Directors; (9) Performs any other task given a mandate by the President. The General Assembly may discuss any topic and make recommendations to the Board of ATCA and other bodies of ATCA. The Board of ATCA will serve as the executive committee for ATCA and is responsible for strategic and political trends of the alliance. This Board of Directors is composed of the President, the Treasurer and five (5) additional members, all elected by the General Assembly. Board members are elected by the General Assembly by taking into account both representative balance criteria of geographical regions, linguistic and gender differences, and areas of expertise. 2008-2012 Board members are among the best African experts in tobacco control with more than ten (10) years of experience. Currently, the Executive Secretariat is composed of five (5) staff members. This secretariat is composed of highly qualified persons to ensure proper implementation of the network’s projects.
    Number and type of members: ATCA is a regional network of over 123 members in 36 African countries. Participation and right to vote (a) Each member organization affiliated to ATCA and having actively participated in ATCA works for at least six (6) months shall have the right to participate in the General Assembly of ATCA. Each representative organization has a vote. (b) Member organizations affiliated to ATCA less than six (6) months may participate in the General Assembly without the right to participate in decisions including the right to vote, elections or any other functions specified below in sub-paragraph 5.3. (c) Individuals members don’t have the right to vote. Participation in network activities Active members have the right to participate in network activities such as conferences, capacity building workshops as well as calls for proposals from the Secretariat. Participation in working groups All members have the right to participate in working groups of their choice. Advice and technical assistance to members Members can also benefit from various provisions such as legal assistance, the possibility for advice in financing. This assistance can only be made to the extent of our abilities because the number of members allocated to the secretariat is limited.
