Organizational structure: |
The organs of the association are: - General meeting: General meeting is the supreme organ of the association. It is composed of all members of the Association General meeting is convened and chaired by the Chairperson of the Executive committee or if need be, by the Vice-Chairperson. In case of absence, obstacle or simultaneous failure of Chairperson and Vice-Chairperson, General meeting is convened, upon written notice by 1/3 of the real members. In this circonstance, the assembly elects a President to preside the meeting. General meeting meets in ordinary session once in one in year. Invitation containing agenda are submitted to the members at least seven (7) days before the meeting. General meeting assembles and deliberates legitimately when 2/3 of the real members are present. If this quorum is not attained, a new convocation is thrown within 15 days. In this expiry date, General meeting assembles and deliberates legitimately whatever the number of present participants. - Executive Committee: The Executive committee is composed of: The Chairperson: lawful Representative; The vice-chairperson: replacing lawful Representative; The secretary; The treasurer. The members of the Executive committee are elected among the real members by General meeting for a renewable mandate of two years. In case of voluntary or forced resignation pronounced by General Assembly or the death of a member of the executive committee before the end of his her mandate of his predecessor. The Executive committee meets as often as of need, but inevitably once by term, on convocation and under direction of the Chairperson or in the failure, of the Vice-Chairperson. It assembles when2/3 of the members are present. Its decisions are taken in the absolute majority of voices when there is no consensus. In case of parity of voices, that of President counts doubles. The Executive Committee has as the attributions: To implement decisions and recommendations of General Assembly; To occupy daily management of the association; To elaborate the annual report of activities of the past financial year; To work out budget forecasts to be subjected to general Assembly; To suggest the modification of statutes and internal regulations to general Assembly; To prepare the sessions of general Assembly; To negotiate agreements on collaboration and funds with partners; To recruit, nominate and fire the employees of the association - Audit office:General Assembly nominates yearly two Auditors having as mission to control the management of finances and other heritages of the association at all times and make his report. They have access, without moving them, to accounting registers and other accounting records of the association. |
Number and type of members: |
The organisation is made up of founder members, adherent members and members of honour. Founder members are the signatories of the statutes. Adherent members are those who, if required and having subscribed to the present statutes, the general meeting agrees. The founder members and adherent members are the real members of the association. They have the same rights and duties in relation to the association. The members of honour are physical person or societies approved by the general meeting for their special services to the association. They play an advisory part but do not take part in the votes. The real members take the commitment to participate wholeheartedly in the activities of the association. They attend general meeting with voting powers and they have the obligation to pour a contribution. |
