    Organizational structure: Foundation's Council Composition, organization The Foundation's Council is composed of a minimum of 3 and a maximum of 5 members. The President as well as 2 other members are imperatively members of the Foundation's Council. The appointment of future members of the Foundation's Council. The appointments of the future members of the Foundation's Council take place by co-optation. The office of the member of the Foundation's Council is of a purely honorary nature with the exception of out-of-pocket expenses which may be refunded. The bookkeeper's office may be remunerated, but only if the bookkeeper himself is not a member of the Foundation's Council. The Foundation's Council acts autonomously: it appoints its President, its Vice-President and its Secretary-Treasurer and it confers the right of signature. The two latter offices can be held concurrently. The Secretary and the bookkeeper do not necessarily have to be members of the Foundation's Council. Customarily, the service in the Council is carried-out on a honorary basis. Only expenses effectively sustained are refunded, while supplementary services which require a considerable professional effort can be compensated on an individual basis; the payment method of these compensations must be specified in a regulation submitted for approval to the Swiss Surveillance Authority of Foundations
