    Organizational structure: (a) The Corporation shall have one (1) class of voting members which shall be composed of those organizations that are elected to voting membership from time to time by the Board of Directors. An affirmative vote of two-thirds of the directors then in office shall be required for election of new voting members. (b) Each voting member shall have the right to appoint one (1) individual to serve on the Board of Directors. Other than with respect to the power to appoint directors, each voting member shall be entitled to one (1) vote on each matter submitted to a vote of the voting members. Voting members shall have such other rights and obligations as may be set forth in these Bylaws from time to time, as may be required by law, or as may be authorized from time to time by the Board of Directors. (c) The Board of Directors may from time to time solicit any entity or organization that manufactures, owns, or controls any pharmaceutical or consumer healthcare product which is sold in Latin America for domestic use to be a voting member of the Corporation. Any such entity or organization that is interested in supporting the mission of the Corporation and that pays the dues and assessments set from time to time for voting membership in the Corporation is eligible to be a voting member of the Corporation pursuant to this Article II. The determination whether such an entity or organization shall be admitted to membership pursuant to this Article II shall be made by the Board of Directors in its sole discretion. Any such organization that qualifies for membership and that has been determined by the Board of Directors to be admitted to voting membership will be admitted to membership upon its acceptance of membership, acceptance of any membership criteria and commitments set from time to time by the Board of Directors, and payment of all applicable dues and assessments. The Board of Directors may from time to time establish such other requirements or policies for the admission of members as it from time to time deems appropriate. (d) The Board of Directors, by affirmative vote of two-thirds of the directors then in office, may suspend the voting rights of any voting member that fails to pay any dues or assessments by their due date, and any such suspension shall remain in effect until such dues and assessments are brought current. (e) Any voting member may resign upon not less than sixty (60) days prior written notice to the Board of Directors, subject to Section 6.4 below. (f) Membership or any interest in the Corporation is not transferrable or assignable without the affirmative vote of two-thirds of the directors then in office, and may not be encumbered and any attempt to do so will be null and void. Section 3.1 Regular Meetings. Regular meetings of the voting members may be held as often as established by resolution of the Board of Directors, as required by the business and affairs of the Corporation, or as required by law or these Bylaws. The voting members’ annual appointment of directors, which shall be in a writing delivered by each voting member to the Board of Directors, shall constitute an annual meeting of the voting members. Section 3.2 Special Meetings. Special meetings of the voting members may be called by the President. Special meetings of the voting members shall be called by the President upon the written request of no fewer than twenty-five percent (25%) of (i) the voting members or (ii) the directors then in office.
