NCOSE is governed by a set of by-laws, which provides a decision-making process for the organization. The by-laws provide for a board of directors and indicates that, “The Board shall manage the affairs of the Corporation.” The by-laws also provide for a chief executive officer who has all the powers to act on behalf of the board of directors in all matters of the corporation. In the absence of the chief executive officer or in case of his or her incapacity, the by-laws provide that the president may act in the CEO’s place. |
