BOARD OF DIRECTORS CONSISTING OF FIVE MEMBERS, THREE OF WHICH ARE APPOINTED BY THE FOUNDER, ONE BY THE EXECUTIVE POWER, AND THE OTHER BY THE MUNICIPALITY OF THE COUNTY OF ACOSTA. SAID DIRECTORS SHALL HOLD OFFICE FOR A PERIOD OF FIVE YEARS, AND MAY BE REAPPOINTED INDEFINITELY. SUBSTITUTIONS ARE AS FOLLOWS: DIRECTORS APPOINTED BY THE EXECUTIVE POWER AND THE MUNICIPALITY OF ACOSTA SHALL BE REPLACED BY THOSE AUTHORITIES. FOR THIS, THE PRESIDENT OF THE BOARD, WITHIN FIFTEEN DAYS PRIOR TO THE TERMINATION OF THE PERIOD FOR WHICH THEY WERE APPOINTED, WILL REQUEST TO THE JUDICIARY POWER AND THE RESPECTIVE MUNICIPALITY THAT THEY BE REELECTED OR THAT A SUBSTITUTE BE APPOINTED. IN CASE OF RESIGNATION, IMPEDIMENT OR DEATH OF THE MEMBER, THE PRESIDENT OF THE BOARD, WITHIN FIFTEEN DAYS AFTER THE FACT, SHALL REQUEST THE APPOINTMENT OF A SUBSTITUTE TO THE RESPECTIVE ENTITY. IF IT IS THE PRESIDENT WHOSE PERIOD IS OVER, OR WHO RENOUNCED, OR HAS AN IMPEDIMENT, OR DIED, THEN THE BOARD SHALL NAME A NEW DIRECTOR, AND THEN THIS DIRECTOR SHALL PERFORM THE NECESSARY STEPS, WITHIN THE TIMEFRAME INDICATED ABOVE, FOR THE APPOINTMENT OF A SUBSTITUTE. IF THE ABOVE MEMBERS ARE UNABLE TO DO SO, THEN THIS DUTY SHALL BE CARRIED OUT BY ANY MEMBER OF THE BOARD OF DIRECTORS PROPERLY APPOINTED TO DO SO. IF THE THREE MEMBERS DESIGNATED BY THE FOUNDER, ONCE THEIR TERM IS OVER, OR IN CASE OF RESIGNATION, IMPEDIMENT OR DEATH, SHALL BE SUBSTITUTED BY APPOINTMENT AGREED UPON BY THE WHOLE BOARD IN A PLENARY MEETING. THE DIRECTORS SHALL ELECT A PRESIDENT WHO SHALL EXERCISE HIS FUNCTIONS FOR A PERIOD OF ONE YEAR AND MAY BE REELECTED INDEFINITELY. IN THIS CASE, THERE WOULD BE NO NEED TO REGISTER OR PUBLISH THE REELECTION, AND FOR THE BENEFIT OF THIRD PARTIES, IT SHALL BE CONSIDERED AS DONE IF THE CHANGE IS NOT RECORDED IN THE REGISTRY. THE BOARD OF DIRECTORS MAY NAME AN EXECUTIVE DELEGATE TO REPRESENT FOUNDATION BUSINESSES, WHO SHALL HAVE THE ATTRIBUTES AND REMUNERATION THE BOARD GRANTS HIM. |
