Organizational structure: The Jewish Renaissance Foundation is legally structured as a private, nonprofit corporation with 501c(3) IRS designation in good standing with the State of New Jersey. The affairs and activities of JRF are carried out for the purposes and in accordance with the terms set forth in our certificate of incorporation and our by-laws, and in conformity with the New Jersey Nonprofit Corporation Act and all applicable provisions of the Internal Revenue Code of 1986, as amended , and all regulations issued thereunder affecting non-profit organizations qualified under the Section 501c(3) and Section 170c(2) of the Code. In addition to the array of the services directly offered by JRF, our organizational structure also consists of the following: ¿ Jewish Renaissance Medical Center – Established by JRF as the nation’s first ever faith-based federally qualified health center, JRMC serves the most vulnerable families and children within schools, community-based and medical facilities located in over 20 New Jersey communities to underdeveloped nations in Europe, Central and South America, and the Middle East. JRMC offers the full range of preventative, primary, and urgent medical, behavioral and dental care, including various areas of specialized treatment for impoverished persons. Within all of our facilities, JRMC institutes certain specialized care programs that address the distinct and complex challenges of our core target subpopulations, particularly to address a wide range of acute and chronic illness and co-morbidity factors affecting our communities. Specialized programs address asthma, diabetes, cardiovascular care, obesity, and numerous developmental and behavioral disorders. ¿ Jewish Renaissance Community Development Organization – As the affordable housing arm of JRF, the Jewish Renaissance CDC is currently managing nearly $2 million in building affordable housing throughout Perth Amboy and surrounding communities. ¿ Boys & Girls Clubs here in Perth Amboy – Created by and a subsidiary of the Jewish Renaissance Foundation, over 600 children and youth, ages 6-15, of all races, ethnicities, and income levels are served by Boys & Girls Clubs of Perth Amboy in four separate facilities.
Number and type of members: As established in our bylaws, JRF is governed by an independent Board of Trustees who maintains full authority over all over all aspects of JRF operations, policies, and finances. JRF is not legally controlled by any governmental, non-governmental, and/or any other entity. Comprised of community, corporate, and governmental representatives, JRF has assembled a Board that largely reflects the composition of our consumer and student base. As a federally-designated "community action agency” (pursuant to the Economic Opportunity Act of 1964), JRF administers a community action board that has to meet “tripartite” composition requirements, i.e.: (1) one-third of the members of the board are elected public officials currently holding office, or their designees, except that if the number of elected officials reasonably available and willing to serve is less than one-third of the membership of the board, membership on the board of appointive public officials may be counted in meeting such one-third requirement; (2) at least one-third of the members of the board are persons chosen in accordance with democratic selection procedures adequate to assure that they are representative of the poor in the area served; and (3) the remainder of the members of the board are officials or members of business, industry, labor, religious, welfare, education or other major groups and interests in the community. Our Board overall serves as the chief mechanism for strategic and fiscal oversight and policy-making. In addition to fiscal monitoring and compliance discussed above, additional Board monitoring activities include review of monthly year-to-date profit and loss financial statements presented at board meetings; review and approval of significant budget modifications; oversee any corrective actions; review and approval of significant purchases or contracting (as an example, any asset purchase needs Board approval); and review and approval of any changes to accounting procedures. Broad Board responsibilities also include: (1) approval of the form of services provided; (2) any adjustments to hours of operation; (3) authorizing the CEO to submit grant applications; (4) personnel and contract policy oversight and approval; and (4) legal and governance compliance. Our Board also serves as the primary driver of our strategic priorities. At the beginning of each fiscal year, the Board and the CEO together form an annual action plan that projects benchmarks within our core operational categories. The Board is responsible for the hiring, evaluation and supervision of the CEO.
